Serum affects your assay as it contains all sorts of growth factors and other cell growth factors. I am assuming you are using it for invasion assay type of experiment and in that it is critical to use no serum media to dilute matrigel. As for your last question, the media (without serum) you are using for your normal cell growth should be good for matrigel dilution.

Serum may or may not affect matrigel composition it is irrevalent but it will unnecessarily affect your cell growth which you do not want.
You should use that specific media which is designed for your cells and use low serum if you like and your chemical whose effect you want to see
it will not affect the matrigel itself it will affect the assay by affecting the growth factors.
