In this comple, when CrCl3.3H2O react with NO donor bidantate Schiff base ligand, replacement of two chloride ligands of chromium with liberation of HCl with Schiff base ligands, but what happens to the third chloride of chromium? How come it is replaced by water, a neutral ligand?

Your structural assignment is incorrect. Cl- will be either coordinated to Cr(III) in the sphere or it will be there as a counter ion. If you check the conductance of the complex in solution you can ascertain it. Certainly Cr(III) would not have undergone reduction to Cr(II) unless there is powerful reducing agent used in the reaction.
