Ricardo, great question. These types of situations call for a very clear and concise joint development agreement (if applicable), technology transfer agreement (if applicable) or third party technology or product development agreement. Assuming you are having a third party develop the technology in its entirety (with no background technology from you), any agreement needs to include what is being developed, a list of deliverables, and since you are funding it, you own all IP as a result of this effort. The third party inventors will have their names on the patent but all IP will be assigned to you. An NDA should be included in the agreement with the names of the key researchers who are likely to innovate. If they leave the firm during or sometime after the period of innovation, it should be stated in the agreement that the technology partner needs to notify you of their departure . In short, the agreement should make every effort to ensure only those who have a need to know the details of the research/development are involved.

As stated previously, if you are relying on open innovation, by integrating third party technology/patents, you want a confidentiality agreement that precludes your partner from divulging your joint effort to the public.

It's important to make a difference between 'technological' issues that are (eventually) patentable and other issues that can be considered as 'new' knowledge, which can be patentable in certain conditions, but for which you don't want to make them public (because a patent is publication after 18 months). Keep in mind, contracts need to be made or revised preferably by an expert (lawyer or attorney).

My colleagues supplied you with answers centered on patenting, secrecy etc. My suggestion which is based on research and consultancy practice is just the opposite -- you should spread the innovation process activities as broad as possible, incorporating managers and low-level employees supplying valuable ideas, external contractors, technical and organizational consultants etc. As a result, the corporation (organization) will possess not formal property rights (some unique solutions are not patented at all to keep them in absolute secrecy, they remain in heads and hands of a group of persons, not always familiar one to another) but the whole strength of technical ability to innovate will be embedded in particular persons (organizations), everyone will know an important part of an innovative solution, but only the whole network (ideally assembled, orchestrated and thereby controlled by the corporation) will able to implement, to reproduce and to improve innovative solutions.

An Intellectual Proerty Wright (IPW) gives to the possessor an exclusive wright on his invention or his innovation. This IPW shoud be necessary in all the steps or process of innivation.

Trademarks – Used to protect brand logos, company names, phrases, and symbols.

Patents – Used to protect manufacturing or design processes.

Copyrights – Used to protect original works, such as art, dances, or literature.
