most standard EEG-processing toolboxes can deal with a wide range of EEG data formats. Check EEGLab or FieldTrip, they should be able to read the .eeg.

Also, bvaloader allows direct reading of .eeg into matlab. Here is link to code and example:

Once data are read into matlab writing to .mat is easy with the matlab save command.
