Independent directors can hamper firm performance if they collude with management/ controlling shareholders in embezzlement and expropriation of company wealth rather than playing their desired monitoring and resource provision roles. Even it may happen if they contribute nothing compared to their remuneration from the companies. You may find many examples in Bangladesh especially in the financial industry i.e. banks and NBFIs.
