One of the fundamental challenges in large holdings is the selection and implementation of a holding governance system while dealing with their subsidiaries and affiliated units.
If we consider that a conglomerate holding entails three levels: holding, corporate, and subsidiary, then the question would be: “What functions and what processes should be performed at each of these three levels, in a way that the maximum governance value is created by the holding along with minimal destruction and duplication?”
We call this "efficient value".
We believe that creating efficient value is applicable through the implementation of appropriate processes without general overlap at the holding levels. However, the implementation faces several challenges:
1. To implement a business process management project, it is necessary to use a PCF (Process Classification Framework) like APQC. The processes in this framework and other existing frameworks are mainly suitable for implementing Business Strategy. However, the dominant strategy in holdings is Corporate Strategy and Parenting Strategy, and many of the processes supporting these types of strategies are not present in the existing PCFs.
2. Ensuring the alignment and translation of strategy into processes is crucial, meaning that every selected holding strategy can be implemented and executed through the establishment of appropriate processes.
3. Integration and lean distribution of processes across the three levels of the holding should be considered. In other words, to create efficient value encompassing operational excellence, synergy, and minimal value destruction, processes should be at each level with varying degrees of intensity. For example, processes such as research and development, marketing and advertising, and recruitment can be carried out completely and centrally at the holding level, or in parallel at all three levels, or solely at the level of each company.
