There is an option to it on ArcGIS.

- open your DXF or TXT file on ArcGIS

- You can browth the table => right click and open at the table of contents

- Right click on the table (at table of content) and "Display XY data..."

- Choose which column is the X and Y coordinates, then it can be display as a point.

- Then you can save the file as Shp file and Modify (add field) to include the name od the points.

I've Global Mapper, the problem is how to import xls to shp ..

ok convertt xls in txt, open it in "open as Aschii" afterr expor as shape, the game is done......

I think the best way is ArcGIS. in Arcmap module by using Tools Box convert dxf to shp file. if you want know detail please call me. for converting xls file, the first add it to arcMap then by right click and select Display XY Data do it

If you want free/open source use ogr (http://www.gdal.org/ogr/). The utility ogr2ogr can inter-convert a large number of vector formats including DXF and TXT (comma separated.) See "http://www.gdal.org/ogr/ogr_formats.html"
